3. Acceptance of Work

All projects and services are subject to our acceptance. We reserve the right to decline any project or terminate services at our discretion, particularly if:

  • The client's business involves illegal activities
  • We determine we cannot deliver the required results
  • Payment terms cannot be agreed upon

4. Client Responsibilities

To ensure successful project delivery, clients must:

4.1 Information and Access

  • Provide accurate, complete, and timely information
  • Grant necessary access to websites, accounts, and platforms
  • Respond promptly to requests for information or approvals
  • Designate appropriate points of contact

4.2 Content and Materials

  • Provide content, images, and materials as agreed
  • Ensure all provided materials are legally owned or licensed
  • Review and approve content before publication
  • Maintain backup copies of important data

4.3 Legal Compliance

  • Ensure business operations comply with applicable laws
  • Maintain necessary licences and permits
  • Comply with advertising standards and regulations
  • Respect intellectual property rights

5. Payment Terms

5.1 Fees and Billing

  • All fees are quoted in British Pounds (GBP) unless otherwise specified
  • Payment terms are typically 30 days from invoice date
  • Setup fees and deposits may be required for new projects
  • Monthly retainer fees are billed in advance

5.2 Late Payments

  • Late payment charges of 1.5% per month may apply to overdue accounts
  • Services may be suspended for accounts more than 30 days overdue
  • Collection costs and legal fees may be charged to the client

5.3 Refunds

  • Setup fees and completed work are generally non-refundable
  • Unused portions of monthly retainers may be refunded upon termination
  • Refund requests must be made in writing

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients own:

  • Website designs and custom code created specifically for them
  • Content created specifically for their campaigns
  • Data and analytics related to their accounts

6.2 Company Ownership

We retain ownership of:

  • Proprietary methodologies and processes
  • Templates and frameworks used across multiple clients
  • Tools and software developed by our team
  • General marketing strategies and knowledge

6.3 Third-Party Materials

Some projects may include third-party materials (stock photos, fonts, software) that require separate licensing agreements.

7. Confidentiality

We understand the sensitive nature of business information and commit to:

  • Maintaining strict confidentiality of all client information
  • Using client information solely for service delivery
  • Implementing appropriate security measures
  • Not disclosing information to third parties without consent

This confidentiality obligation continues indefinitely, even after termination of services.

8. Performance and Results

8.1 Best Efforts

We commit to providing services with professional skill and care, but cannot guarantee specific results due to factors beyond our control, including:

  • Search engine algorithm changes
  • Market competition and conditions
  • Client industry and business factors
  • Third-party platform policies and changes

8.2 Reporting and Communication

We provide regular reporting and maintain open communication about campaign performance, challenges, and opportunities.

9. Limitation of Liability

To the maximum extent permitted by UK law:

9.1 Excluded Damages

We shall not be liable for:

  • Indirect, consequential, or special damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Damages arising from third-party actions

9.2 Liability Cap

Our total liability for any claim shall not exceed the total amount paid by the client in the 12 months preceding the claim.

9.3 Time Limitation

Claims must be brought within 12 months of the events giving rise to the claim.

10. Termination

10.1 Termination by Client

  • 30 days written notice required for ongoing services
  • Payment required for all work completed to termination date
  • Setup fees and completed work are non-refundable

10.2 Termination by Company

We may terminate services immediately if:

  • Payment is more than 30 days overdue
  • Client breaches these terms
  • Client's business becomes illegal or unethical
  • Working relationship becomes untenable

10.3 Post-Termination

  • All outstanding invoices become immediately due
  • Access to our systems and tools will be revoked
  • Client data will be returned or securely destroyed
  • Confidentiality obligations continue

11. Website Terms of Use

11.1 Permitted Use

You may use our website for:

  • Learning about our services
  • Contacting us for business enquiries
  • Accessing resources we provide

11.2 Prohibited Use

You may not:

  • Use our website for any illegal purpose
  • Attempt to gain unauthorised access to our systems

12. Force Majeure
